Offer-for-sale (OFS)

Definition

An IPO structure where existing shareholders sell their shares to the public, as opposed to the company issuing new shares — meaning the listing raises no fresh capital for the company itself.

Why it matters for a secondary

OFS is the dominant exit mechanism for India's biggest secondaries — NSE, SBI Funds Management, and Zepto's secondary tranche all used a 100% or partial OFS structure — making the IPO itself the liquidity event rather than a separate private sale.
