Sdn Bhd

Definition
Short for Sendirian Berhad ("private limited"), the standard private company form in Malaysia, whose constitution can embed transfer restrictions and rights of first refusal like its regional equivalents.
Why it matters for a secondary
Reading a target company's Sdn Bhd constitution and any shareholders' agreement is the starting point for any Malaysian secondary, the same way it is for an S.A.P.I. in Mexico or an S.A.S. in Colombia.
