Definition

Hong Kong's securities regulator, overseeing the Hong Kong Stock Exchange (HKEX) and licensed intermediaries. Private share transfers sit outside its direct purview, as in most of the region.

Why it matters for a secondary

The SFC's relevance to secondaries is mostly upstream: it (alongside China's CSRC for mainland-linked issuers) approves the IPOs that many pre-listing secondary sales β€” like Shein's and Xiaohongshu's β€” are timed around.
